CallPlan Affiliate Agreement

This Affiliate Agreement (“Agreement”) applies to newly approved referrals to the CallPlan Essentials and Connect subscription and usage offerings. It does not replace existing affiliate agreements or apply to existing referrals. It governs participation in the affiliate program operated by Recapito (“Recapito,” “we,” “us” or “our”). “Affiliate,” “you” and “your” mean the person or entity approved to participate.

1. Application and approval

You must provide complete, accurate application information and keep it current. We may approve or decline an application in our discretion based on audience fit, promotional methods, brand suitability, legal or operational risk, or other program considerations. We may request more information or revoke approval if application information was materially inaccurate.

2. Referral tracking and attribution

We assign each approved affiliate a code. Qualified referrals must use the properly formatted referral link and be recorded by our systems when the customer begins signup. Codes are subject to availability and remain Recapito property.

A referral is not qualified if the customer was already a CallPlan customer or active sales prospect, used an unauthorized or altered code, cannot reasonably be attributed in our records, or resulted from prohibited conduct. Recapito's reasonable records control attribution decisions. We may correct errors and resolve overlapping claims in good faith.

3. Commission per sale

The commission for this offering is $30 for Essentials or $60 for Connect per eligible new customer, paid once. The amount is determined by the initial plan purchased. Each eligible new customer earns one commission only. Renewals, upgrades, yearly anniversaries, AI call usage, and customization charges do not earn additional commissions.

Under this agreement, a commission becomes eligible 30 days after signup if the first subscription payment was collected and not refunded, reversed, or charged back. Application timing and the agreement remain subject to owner approval.

An application, reserved code, or purchase made before written approval and confirmation of referral-link activation does not create commission entitlement.

4. Payment

Payment is a one-time commission for the initial subscription, not an annual or recurring award. Eligible commissions ordinarily will be reviewed and paid monthly, within 30 days after the end of the month in which they became eligible. We may hold disputed or potentially refundable commission while investigating. If a paid commission is later refunded, reversed or charged back, we may deduct it from a future payment or request repayment.

You must provide information reasonably required for payment and tax reporting. You are responsible for taxes arising from commissions. We may withhold payment until required information is received or where required by law.

5. Affiliate responsibilities

You will promote CallPlan truthfully, professionally and lawfully. You must clearly and conspicuously disclose that you may receive compensation when making an endorsement or sharing an affiliate link. You may make only accurate, supportable claims consistent with current CallPlan materials.

6. Prohibited conduct

You may not:

• send spam or unlawful unsolicited communications;
• make false, misleading, unsubstantiated or unauthorized claims;
• use cookie stuffing, forced clicks, misleading redirects or artificial attribution;
• refer yourself, create sham accounts or manipulate signups, payments or commissions;
• offer unapproved rebates, incentives, discounts or coupons;
• bid on Recapito or CallPlan marks or misspellings in paid search without written approval;
• register domains, social accounts or business names that imitate our brands;
• place links on unlawful, deceptive, discriminatory, sexually explicit or inappropriate content; or
• represent that you are an employee, agent or authorized Recapito representative.

7. Brand and materials

During active participation, we grant a limited, revocable, nonexclusive, nontransferable license to use materials we expressly approve solely to promote CallPlan under this Agreement. You may not materially alter our marks or materials. All goodwill belongs to Recapito. Stop using them when participation ends or when requested.

8. Customers and administration

Referred customers are Recapito customers subject to applicable customer terms. Recapito controls pricing, acceptance, service, refunds and customer relationships. We do not guarantee any referral will subscribe, remain a customer or generate commission.

9. Term and termination

Either party may end participation at any time by written notice. We may suspend tracking or terminate immediately for suspected fraud, prohibited conduct, legal risk or material breach. On ordinary termination, eligible commissions generated before termination remain payable. No new referrals qualify afterward. Commissions tied to fraud, material breach or prohibited conduct may be denied.

10. Changes

We may modify the program or Agreement prospectively by posting revised terms or giving written notice. Material commission changes will not reduce commissions already earned. Continued promotion after revised terms take effect constitutes acceptance. Application availability will be stated on the program page.

11. Independent contractor

The parties are independent contractors. This Agreement creates no employment, agency, partnership, franchise, fiduciary or joint venture. You cannot bind Recapito. You bear your costs and control your activities, subject to this Agreement.

12. Confidentiality and privacy

Nonpublic business, customer, commission and program information must be kept confidential and used only for program participation. Handle personal information lawfully and securely; do not collect or disclose customer information for us unless expressly authorized.

13. Disclaimers and liability

The program and tracking are provided on an “as available” basis. We do not guarantee uninterrupted tracking, results or earnings. To the maximum extent permitted by law, Recapito is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, revenue, goodwill or data. Recapito's aggregate program liability will not exceed commissions paid or payable during the three months before the event giving rise to the claim.

14. Indemnification

To the extent permitted by law, you will indemnify and hold Recapito harmless from third-party claims, penalties, costs and reasonable expenses arising from your promotions, unlawful conduct, breach, infringement of another's rights or failure to make required disclosures.

15. General terms

You may not assign this Agreement without written consent. If a provision is unenforceable, the rest remains effective. Failure to enforce is not a waiver. This Agreement and written approval terms are the entire program agreement. Electronic communications and records may satisfy writing requirements. This Agreement is governed by the laws of South Carolina, without regard to conflict-of-law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts serving Spartanburg County, South Carolina.
